These Terms constitute a legally binding agreement between you and DigiDxDoc Health Solutions Pvt. Ltd. ("DigiDxDoc," "we," "us," or "our").
If you do not agree to these Terms, you must not access or use our Services.
DigiDxDoc provides digital pathology solutions including but not limited to:
• DigiDx Whole Slide Scanner: Hardware for converting glass slides to digital format.
• DigiDx Pathology Image Viewer: Software platform for viewing and analyzing digital pathology images.
• DigiDx Management Software: Laboratory information management and workflow solutions.
• DigiDx AI Solutions: Artificial intelligence-powered diagnostic assistance tools.
• DigiDx ImageFlow: Multi-modal medical imaging platform.
• DigiDx Cytology: Cloud-native cytology management software.
• DigiDx Academy: Digital pathology education and training platform.
• DigiDx Biopharma: Research and clinical trial pathology solutions.
• DigiDx MEDXrad: Radiology data handling and reporting solutions.
• DigiDx OncoConnect: Tumor board collaboration platform.
• DigiDx Histology - Tissue Processing: Complete tissue processing services from fixation to embedding.
• DigiDx Histology - Slide Reading with Photos: Microscopic examination and documentation with high-quality photographs
• DigiDx Slide Scanning: Professional slide digitization services using advanced scanning technology
• DigiDx Special Stains: Specialized histochemical and immunohistochemical staining services (charged as additional services)
• DigiDx Decalcification: Specialized processing for bony tissue specimens requiring decalcification
• DigiDx Slide and Block Return: Secure return shipping services for processed slides and tissue blocks (1 package accommodates up to 20 slides)
• Implementation and integration services
• Training and educational programs
• Technical support and maintenance
• Cloud storage and data management
• Consulting and customization services
DigiDxDoc offers three primary subscription tiers:
• Essential: Basic digital pathology features for small to medium laboratories.
• Professional: Advanced features including AI assistance and enhanced collaboration tools
• Enterprise: Full customization, integration capabilities, and premium support
• All pricing is subject to the current rate card available on our website or as quoted in your service agreement.
• Prices are exclusive of applicable taxes, duties, and government charges.
• We reserve the right to modify pricing with 30 days' written notice.
• Custom pricing may apply for Enterprise customers based on specific requirements.
• Laboratory services are priced per service with additional charges for special stains, expedited processing, and specialized procedures.
• Shipping and handling charges apply to slide and block return services
• Subscription fees are billed in advance on an annual or monthly basis as selected.
• Payment is due within 30 days of invoice date.
• Late payments may incur interest charges at 1.5% per month or the maximum rate permitted by law
• Services may be suspended for accounts more than 30 days overdue.
• Customers must provide accurate and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must notify us immediately of any unauthorized use of your account.
• Each user account is for individual use and may not be shared.
• Users must comply with all applicable laws and regulations, including healthcare privacy laws.
• Users are prohibited from attempting to gain unauthorized access to our systems.
• Users must not use the Services for any illegal, harmful, or unethical purposes.
• Users are responsible for ensuring their use complies with institutional policies and procedures.
• We reserve the right to suspend or terminate accounts that violate these Terms.
• You may terminate your account at any time with written notice.
• Upon termination, access to Services will cease, and data export options will be provided as per our data retention policy.
• We implement industry-standard security measures to protect your data.
• All patient data must be handled in compliance with applicable healthcare privacy regulations.
• We maintain appropriate administrative, physical, and technical safeguards.
• Data transmission is encrypted using industry-standard protocols.
• Customers retain ownership of all data uploaded to our Services.
• DigiDxDoc does not claim ownership of customer data or content.
• We may use aggregated, de-identified data for service improvement and research purposes.
• Customer data will not be shared with third parties except as required by law or with explicit consent.
• Customer data is retained according to subscription terms and applicable legal requirements.
• Upon termination, customer data will be made available for export for a period of 90.
• After the retention period, data will be securely deleted according to our data deletion.
• Customers may request data deletion at any time, subject to legal and regulatory requirements.
• All Services, software, and related materials are protected by intellectual property laws.
• DigiDxDoc retains all rights, title, and interest in our proprietary technology.
• No license or rights are granted except as expressly provided in these Terms .
• Customers may not reverse engineer, decompile, or create derivative works of our software.
• Customers retain ownership of their data and content uploaded to our Services.
• By using our Services, customers grant us a limited license to process and store their content.
• This license is solely for the purpose of providing the Services and is revoked upon termination.
• We will not use customer content for any purpose other than service delivery.
•Any feedback or suggestions provided to DigiDxDoc may be used without restriction.
• Customers waive any rights to compensation for feedback or suggestions
• DigiDxDoc may incorporate feedback into future product development .
• Customers are responsible for ensuring compliance with all applicable healthcare regulations
• Our Services are designed to support compliance with HIPAA, GDPR, and other relevant regulations
• Customers must implement appropriate administrative and technical safeguards
• We provide documentation and support to assist with compliance efforts
• Our hardware products comply with applicable medical device regulations
• Software components are designed according to relevant quality standards
• Customers are responsible for ensuring appropriate validation and qualification
• We provide documentation to support regulatory submissions and audits
• Customers using our Services internationally must comply with local laws and regulations
• Data residency and transfer requirements must be addressed according to local requirements
• We provide options for data localization where required by law
• We target 99.5% uptime for cloud-based services, measured monthly
• Scheduled maintenance will be performed during announced maintenance windows
• Emergency maintenance may be performed as needed with minimal advance notice
• Availability excludes downtime due to factors beyond our reasonable control
• Technical support is provided during business hours (9 AM - 6 PM IST, Monday–Friday)
• Emergency support is available for critical issues affecting patient care
• Support response times vary by subscription tier and issue severity
• Support is provided in English and may be available in other languages upon request
• We maintain performance standards appropriate for each service type
• Image loading times and system responsiveness are optimized for clinical use
• Performance may vary based on network conditions and customer infrastructure
• We provide performance monitoring and reporting tools for Enterprise customers
• Services are provided "as is" without warranties of any kind
• We disclaim all warranties, express or implied, including merchantability and fitness for purpose
• We do not warrant that Services will be uninterrupted, error-free, or completely secure
• Customers are responsible for validating the suitability of Services for their specific use
• Our liability is limited to the amount paid by the customer in the 12 months preceding the claim
• We are not liable for indirect, incidental, consequential, or punitive damages
• This limitation applies regardless of the theory of liability
• Some jurisdictions may not allow these limitations, in which case they apply to the maximum extent permitted
• Our Services are tools to assist healthcare professionals and do not replace professional judgment
• Healthcare providers remain solely responsible for patient care decisions
• We do not provide medical advice or diagnoses
• Users must validate all results and maintain appropriate clinical oversight
• Customers agree to indemnify and hold DigiDxDoc harmless from claims arising from:
• Customer's use of Services in violation of these Terms
• Customer's violation of applicable laws or regulations
• Customer's negligent or wrongful acts in using the Services
• Claims related to customer data or content
• We will indemnify customers against third-party claims that our Services infringe valid patents, copyrights, or trademarks, subject to:
• Prompt written notice of the claim
• Our exclusive control of defense and settlement
• Customer's reasonable cooperation in the defense
• Our option to modify or replace infringing Services
• Customers may terminate subscriptions with 30 days' written notice
• Termination is effective at the end of the current billing period
• No refunds will be provided for unused portions of prepaid subscriptions
• Data export options will be provided during the notice period
• We may terminate customer accounts immediately for:
• Material breach of these Terms
• Non-payment of fees after notice and cure period
• Violation of applicable laws or regulations
• Actions that threaten the security or integrity of our Services
• All access to Services ceases upon termination
• Customer data will be retained according to our data retention policy
• Customers remain liable for all charges incurred prior to termination
• Certain provisions of these Terms survive termination
• DigiDxDoc is not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to:
• Natural disasters, epidemics, or government actions
• Internet service provider failures or cyber attacks
• Labor disputes or supplier failures
• Changes in laws or regulations
• During force majeure events, we will use reasonable efforts to minimize service disruption and will resume normal operations as soon as practicable.
• These Terms are governed by the laws of India, without regard to conflict of law principles.
• Any disputes arising from these Terms or the use of Services shall be subject to the exclusive jurisdiction of the courts in Kochi, Kerala, India.
• Parties agree to attempt good faith resolution of disputes through direct negotiation
• If negotiation fails, disputes may be resolved through binding arbitration under Indian Arbitration and Conciliation Act
• Arbitration proceedings will be conducted in English in Kochi, Kerala
• These Terms, together with your service agreement and privacy policy, constitute the entire agreement between the parties and supersede all prior agreements and understandings.
• We may modify these Terms by posting updated versions on our website. Continued use of Services after modifications constitutes acceptance of the new Terms.
• If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
• Customers may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.
• All notices must be in writing and delivered to the addresses specified in your service agreement or to legal@digidxdoc.com.
• All specimens must be properly fixed and labeled according to standard pathology protocols
• DigiDxDoc is not responsible for specimen quality issues arising from improper collection, fixation, or transport
• Processing timelines are estimates and may vary based on specimen complexity and volume
• Rush processing is available for urgent cases at additional cost
• Slide and block return service includes secure packaging and tracked shipping
• Standard return packaging accommodates up to 20 slides per package
• Additional packaging charges apply for shipments exceeding standard package limits
• Customers are responsible for providing accurate shipping addresses and contact information
• DigiDxDoc is not liable for shipping delays or damages caused by courier services
• Special stains, immunohistochemical stains, and molecular studies are charged as additional services
• Pricing for additional services is available upon request and subject to current rate cards
• Some specialized procedures may require additional processing time
• Customers will be notified of additional charges before processing unless pre-authorized
• All laboratory services are performed according to established quality standards
• Digital photographs and documentation are provided as part of slide reading services
• Quality control measures are implemented throughout all processing steps
• Customers may request re-processing in cases of technical failures at no additional charge
• Tissue blocks are retained according to standard pathology practice and applicable regulations
• Digital images and reports are stored according to our standard data retention policy
• Specimen disposal follows appropriate medical waste management protocols
• Customers may request extended retention periods for research or legal purposes
